An entrepreneur at heart, Neil understands the right deal strikes a balance between legal risk and business reward. He understands the challenges associated with taking an idea, turning that idea into a successful company, and growing that company into a dynamic global business. His client-first ethos leads to long-term personal and professional relationships with his clients.

Neil started his career working at a premier law firm for emerging growth company-side representation. He then joined one of North Carolina’s largest law firms (which is now part of a top 20 global law firm), where he was a member of the firm’s business and technology group and where he launched and headed the first large-firm India-focused legal practice in the Southeastern United States. With the belief that clients’ needs are best served outside of the traditional law firm model, Neil started Bagchi Law in 2008 to provide effective and efficient legal services that focus on the goals of its clients as opposed to the goals of the firm. His clients appreciate his straight-shooting approach based on candor and accountability.

In 2007, Neil was recognized as “Attorney of the Year” by the IndUS Business Journal, one of the largest India business publications in the U.S. In 2010, Neil was recognized as one of the Triangle Business Journal’s “Top 40 Under 40” business leaders in the Raleigh, Durham, Chapel Hill and Research Triangle Park community. Neil was recognized by Business North Carolina as “Legal Elite” in the Young Guns category for 2008 and 2013, and in 2012, 2013 and 2014 the publication recognized him as “North Carolina’s Legal Elite” in the Business category. Additionally, in 2013, Neil was deemed one of North Carolina’s “Top 50 Entrepreneurs” by Business Leader Magazine.

In addition to serving clients’ needs, Neil frequently speaks and writes on a variety of topics ranging from international business to startup company issues. Neil’s articles have been published in the Tech Journal South and the IndUS Business Journal and he contributed chapters to Thomson West publications, U.S. Corporate Counsel’s Guide to Doing Business in India, and Transnational Joint Ventures.

Neil attended the University of North Carolina (UNC) at Chapel Hill on the prestigious Morehead Scholarship. While at UNC, Neil served as a student community leader and captained the university rugby team. Several years after graduating from UNC with honors in Political Science and History, Neil returned to UNC to attend law school where he received his juris doctor.

Michael Kohagen

Experience

Prior to joining Bagchi Law, Michael was in-house counsel at a local startup company. Today, Michael handles for the firm’s domestic and foreign clients a variety of corporate and commercial transactions, including private equity and venture capital financings and mergers and acquisitions. His practice is founded on the principal that true counsellorship begins with a deep understanding of each client’s business and vision.

Michael earned his law degree from the University of North Carolina School of Law, after earning a B.A. degree in Germanic Studies from the University of Michigan at Ann Arbor. Outside the office, he is an avid scuba diver, tennis and table tennis player.

Surabhi Gawande

Experience

Surabhi has several years of experience as a corporate transactional attorney advising on private equity and cross-border transactions. Prior to joining Bagchi Law, Surabhi worked at one of the top 4 law firms in India. In addition to handling a broad range of corporate and business matters, she was responsible for advising clients in domestic and cross-border transactions and structuring including joint ventures, acquisitions and private equity investments. Surabhi also worked as the Executive Director of a non-profit organization in Raleigh serving victims of domestic violence.

Surabhi is admitted to practice in the State Bar of New York and in India. She received her master of laws degree in Business Law and Policy from University of California, Los Angeles. She earned her law degree from India. She is passionate about advocating for women’s rights and continues to volunteer with a local domestic violence prevention agency. When not at work, Surabhi enjoys spending time with family and friends and traveling.

Sean has served as counsel to a large global law firm, leading regional law firm, and a “Big 4” accounting firm. These experiences uniquely position him as not only a technical expert but also a genuine client advocate. Simply put, he helps businesses achieve global expansion plans through the implementation of proven strategies. Sean’s highly-regarded practice focuses on international tax planning and structuring for both the outbound operations of U.S. multinationals and the inbound operations of foreign multinationals. This includes advice on structuring mergers and acquisitions, internal restructurings and operations, joint ventures, external and internal financings, and transfer pricing matters, including the cross-border transfer and licensing of intellectual property.

Sean is the author of multiple publications on international taxation and is a frequent speaker on the cross-border structuring of investments and a variety of international taxation issues. He was recognized as the “Outstanding Conference Speaker for 2011” by the North Carolina Association of Certified Public Accountants (NCACPA). In 2009, Sean was honored to be included in The International Who’s Who of Corporate Tax Lawyers.

Sean is a member of the State Bar of Michigan and is admitted to practice before the U.S. Tax Court. He is also a member of the North Carolina Bar Association where he has served as a member of the Council of the International Law Section. He received his master of laws degree in taxation, magna cum laude, from the Chicago-Kent School of Law. He received his juris doctor degree, cum laude, from Michigan State University College of Law and his bachelor of arts degree from the University of Michigan at Ann Arbor.

Glen has nearly two decades of legal experience advising on investment and finance transactions, particularly in cross-border scenarios. His clients have ranged from the world’s largest investment manager to small companies seeking advice on corporate growth and development. He has served as a partner in the corporate practices at both a Top 10 global law firm and an international mega-boutique firm focused on the needs of ultra-high-net-worth entrepreneurs and their businesses. Glen is often called upon to distill highly complex situations into straightforward, executable solutions.

In addition to a wide range of conventional corporate transactional and financial structuring experience, Glen has drawn upon his undergraduate studies in religion to advise clients on structuring investments to comply with specific religious guidelines.

Glen graduated from Brown University, and received his law degree from the University of North Carolina, where he served as editor-in-chief of its Law Review. Glen is a member of the New York Bar.

Jill Panall, SPHR, SHRM-SCP, joins Bagchi Law as our non-attorney specialist in Human Resources and Organizational Development. Jill brings 20 years of HR experience at Fortune-500 companies including Georgia-Pacific and CBRE where she worked in Field HR, Talent Development, Organizational Development and Learning and Development across North America, while also providing support to programs in the U.K. and Asia-Pacific regions.

Jill is a nationally certified Senior Professional of Human Resources (SPHR) and also a Senior Credentialed Professional (SHRM-SCP), the top designation offered by the Society for HR Management (SHRM).

Jill is a graduate of the Choate Rosemary Hall School and the University of North Carolina at Chapel Hill. She pursued graduate studies at the University of Connecticut at Storrs and completed HR certification classes at St. Joseph’s College. Jill volunteers extensively in her local community. In 2016, Jill realized her longtime dream of becoming a Jeopardy! Champion.

John is the founder of Venture First.  Venture First provides Bagchi Law and its clients with financial modeling and analytical services.  John founded Venture First to fill a gap in the financial services ecosystem affecting ventures, early-stage investors and other lower-middle-market companies. He has worked with hundreds of early- and growth-stage companies across many industries, many of them dealing with highly-technical products or business models. In addition to John has over a decade of financial and transactional experience, including buy-side and sell-side M&A, debt and equity capital raises, strategic consulting, complex financial modeling, business plan development, equity and derivative valuation, and venture incubation.  Prior to Venture First, John served as Vice President at Blue Equity, a growth-stage private equity firm, and Chief Financial Officer at Bellanovus, an early-stage medical device development company.

John attended the Wharton School at the University of Pennsylvania, receiving a B.S. in Economics and dual concentrations in Finance and Management.
